This site is dedicated to helping entrepreneurs navigate the process of raising capital, specifically the Private Placement Memorandum writing part. After helping several friends and neighbors raise capital and make acquisitions I realized that my 30 years as a lender, investor and principal in leveraged buyouts positioned me as a unique resource.

The idea to provide a PPM template came from my own experience when several years ago we spent $18,000 to have a PPM drafted for a transaction. As it turned out, we did all the writing (since we were putting the deal together), while the attorney made sure that the right disclaimers and legends were in place.

The process was frustrating because 1) it took too way long with all the drafts going back and forth; and 2) the $18,000 was a tough pill to swallow because it came out of our pocket before we even began to raise capital.

My view is that with a proper PPM template, you should be able to write your own Private Placement Memorandum and then take it to your attorney for review and comment. Following this type of process will greatly reduce the time to market and your exposure to high upfront transaction costs.
